REP LEAGUE Terms of Service

DRAFT – NOT LEGAL ADVICE. This is a working draft prepared for Tyson Miller's review. It must be reviewed and finalized by a qualified lawyer before it is published or relied on. Items in [brackets] are placeholders or open decisions.

Effective date: [Effective date] Last updated: [Last updated date]

1. Welcome to REP LEAGUE

REP LEAGUE ("REP LEAGUE," "we," "us," or "our") is a social leaderboard for fitness and strength sports. You post your results, earn points, and see how you stack up in your city, your leagues, and nearby.

REP LEAGUE is operated by [Company legal name], [Mailing address]. You can reach us at [Contact email].

These Terms of Service ("Terms") apply when you use REP LEAGUE on the web (currently at https://olive-cherry-bay-plaza.grok.me or any later domain we use) and in our mobile apps for Apple and Android devices (together, the "Service").

By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Refund Policy. If you don't agree, please don't use the Service.

2. Who can use REP LEAGUE

  • You must be at least 13 years old. The Service is not directed to children under 13.
  • If you are under 18 (or under the age of majority where you live), you need your parent or guardian's permission, and they agree to these Terms on your behalf. In some places a higher minimum age or parental consent is required by law (for example, in parts of the EU/UK); where that applies, you must meet it.
  • You can't use the Service if you've been banned from it before, or if the law where you live doesn't allow it.

3. Your account

  • You can sign up with email and password, or with Google or X sign-in. When you use Google or X, their terms and privacy policies also apply to that sign-in.
  • Keep your login details safe. You're responsible for what happens under your account. Tell us right away at [Contact email] if you think someone else has accessed it.
  • Give us accurate information and keep it up to date.
  • One person, one account. Don't impersonate anyone or create accounts to game the leaderboards.

4. Your bib (profile)

When you claim your "bib," you choose a name, handle, city, region, and an optional bio. You can also turn on "Use my location" to see the Nearby board.

What others can see: your name/handle, city, results, points, and photos/videos you attach to posts. We never show your exact location or coordinates — only your city and a rounded distance, never an exact mile count. You can turn location off at any time. See the Privacy Policy for details.

5. Posting results and fair play

REP LEAGUE only works if results are real.

  • Post only your own, genuine results — lifts (weight and reps, including via the rep counter), runs, swims, rides, rows, plank times, pull-ups, push-ups, and other supported events.
  • No cheating. Don't post fake, exaggerated, or doctored results, edited proof, someone else's performance, or results from multiple accounts.
  • Points. A benchmark performance is worth 100 points, and points are capped at 250 per event. We may change how points are calculated.
  • We may adjust or remove scores. We can review, re-score, hide, or remove any result, points, streak, or leaderboard position that we reasonably believe is inaccurate, unverifiable, or breaks these Terms, and we may reset leaderboards if needed. Leaderboards, points, streaks, and rankings are for fun and motivation; they have no cash value and are not official records.

6. Your content and the license you give us

"Your content" means anything you post — results, photos, short videos, bio text, league names, and comments.

  • You own your content. We don't claim ownership.
  • License to us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, and share your content (for example, showing it on leaderboards and to other users, and creating thumbnails or compressed versions) only as needed to operate, improve, and promote the Service within the Service. This license ends when you delete the content or your account, except for copies kept in backups for a limited time, content others have already shared within the Service, or where we must keep it by law (see the Privacy Policy).
  • You confirm you have the rights to everything you post, and that people shown in your photos or videos are OK with being shown.

7. Community rules

Don't post or do any of the following:

  • Nudity or sexual content
  • Harassment, bullying, threats, or stalking
  • Hate speech or content attacking people based on protected characteristics
  • Violence, gore, or glorifying self-harm
  • Fake or doctored results, or content meant to mislead
  • Other people's content (photos, videos, music, etc.) without permission
  • Dangerous challenges or content encouraging unsafe behavior or risky stunts
  • Spam, scams, ads we haven't approved, or malware
  • Sharing someone else's private information
  • Anything illegal
  • Trying to hack, scrape, overload, reverse-engineer, or get around security or Pro restrictions in the Service

8. Reporting, blocking, and moderation

  • You can report a post (including a photo or video), a comment, a profile, or a league, and block someone from their profile or from a post or comment. Read the Community Guidelines.
  • We (and service providers working for us) may review reported content, including photos and videos, and may remove content, hide results, or restrict accounts that we believe break these Terms or the law. We may also review content without a report.
  • We aren't required to monitor everything and can't catch everything. If you see something wrong, please report it.
  • If you think we removed something by mistake, contact [Contact email].

9. Free and Pro plans

REP LEAGUE has a free plan and a paid Pro plan. Features may change over time; we'll try to give notice of major changes.

Free includes: posting results with photo or short video proof, points, city leaderboards (7 days / 30 days / all time), joining public leagues, your bib/profile, the rep counter, your current streak count, and the last 30 days of your personal history.

Pro adds: longer or HD video proof, the Nearby board with a custom radius and per-event filter, the "Rising this week" ranking, streak insights, your full My Metrics history and charts, and creating private/custom leagues.

Pricing, trials, and renewals

  • Pro costs $4.99/month or $34.99/year (USD). Prices in the Apple App Store and Google Play may differ by country and may include or add local taxes.
  • Auto-renewal: Pro subscriptions renew automatically at the end of each period until you cancel.
  • 7-day free trial: New subscribers may get a 7-day free trial (one per person). Unless you cancel at least 24 hours before the trial ends, you'll be charged the plan price when the trial ends. We'll send a reminder before your first charge.
  • Cancel anytime: On the web, use the Manage subscription link in your account. On iPhone/iPad, use your Apple ID subscription settings. On Android, use Google Play subscription settings. Canceling stops future renewals; you keep Pro until the end of the period you've already paid for. Deleting the app or your account doesn't automatically cancel an App Store or Google Play subscription.
  • Price changes: We'll give you advance notice of price changes as required by law and by the app stores, and you can cancel before the new price applies.
  • Payments are processed by RevenueCat with Stripe on the web, and by Apple or Google in the apps. We don't store your full card number.
  • Refunds are covered in our Refund Policy.

If Pro ends (downgrade)

If your Pro subscription, trial, or Founding Pro pass ends, you move to Free. You keep all your posts, results, points, and history — nothing is deleted. Pro-only views (like full history and charts, "Rising this week," and custom radius) are hidden until you upgrade again. Private leagues you created [DECISION FOR TYSON: become read-only / are kept but you can't add new members].

10. Founding tester pass — plain and simple

We want to be completely upfront about how the tester pass works. There is no bait-and-switch.

  1. Testing phase. While REP LEAGUE is in testing, everyone gets full Pro for free. We don't ask for any payment.
  2. When paid plans go live. Testers get a "Founding tester" pass. Your 30-day free Founding Pro period starts at your own first sign-in after paid plans go live, and ends exactly 30 days later. Example: if you first sign in on March 3, your pass ends April 2.
  3. Countdown. The app shows a "Founding Pro: X days left" countdown and your exact end date on your Bib/account screen.
  4. Founding price. Until your own pass ends, you can choose to subscribe at the founding price of $2.99/month or $24.99/year. That price stays the same for as long as your subscription stays active without lapsing. If you cancel and it lapses, the founding price ends and regular prices apply if you subscribe again.
  5. If you don't subscribe, you simply drop to Free and keep everything (see "If Pro ends" above).
  6. Lifetime Pro. Testers who posted in at least 3 different weeks during testing get Lifetime Pro at no cost. We may also grant Lifetime Pro to other people at our discretion. Lifetime Pro lasts for the life of the Service and can be revoked only for violations of these Terms.
  7. Never charged automatically. We do not collect a payment method for the tester pass, and it never turns into a paid subscription on its own. You'll only be charged if you actively choose to subscribe.
  8. The tester pass has no cash value and can't be transferred, sold, or exchanged.

11. Safety, health, and assumption of risk

  • REP LEAGUE is not medical advice. The Service, including points, benchmarks, rep counts, metrics, and rankings, is for general information and motivation only. It is not medical, health, nutrition, or training advice.
  • Talk to a doctor before starting a new exercise program, especially if you have a health condition, injury, or are pregnant.
  • Exercise at your own risk. Lifting, running, swimming, cycling, rowing, and other activities can cause injury. Use proper form, equipment, spotters, and supervision; know your limits; and follow local rules and safety guidance. Don't attempt anything unsafe just to climb a leaderboard.
  • Be aware of your surroundings when recording, and don't trespass or film people who haven't agreed to it.
  • Meeting people in person. You are responsible for your own safety if you choose to meet anyone from the Service in person. REP LEAGUE does not verify users, does not supervise meetups, and is not a party to anything you arrange off the Service. Don't share your exact address.
  • To the extent permitted by law, you voluntarily assume the risks of the activities you do in connection with the Service.

12. Third-party services

The Service relies on third parties, including hosting and database providers (such as xAI/Grok Build hosting and Neon), sign-in providers (Google, X), and payment providers (RevenueCat, Stripe, Apple, Google). Their services are governed by their own terms, and we're not responsible for them. Links to other sites are provided for convenience only.

13. Our rights in the Service

The Service, including its design, software, logos, and the REP LEAGUE name, belongs to us or our licensors. We give you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use, under these Terms. If you send us feedback or ideas, we may use them without owing you anything.

14. Suspension and termination

  • You can stop using the Service and delete your account anytime in the app (or by web request — see the Privacy Policy). Remember to cancel any app-store subscription separately.
  • We may suspend or terminate your account, remove content, or revoke Pro or Lifetime Pro if you break these Terms, create risk or legal exposure for us or others, or if required by law. Where reasonable, we'll tell you why. Except where the law requires otherwise, we don't refund fees if we terminate your account for violating these Terms.
  • We may change, pause, or discontinue all or part of the Service. If we shut down the Service entirely, we'll give reasonable notice where possible, and [DECISION FOR TYSON: refund unused prepaid subscription time on a pro-rata basis / handle per Refund Policy].
  • Sections that by their nature should survive (like content licenses for existing content, disclaimers, limits of liability, indemnity, and disputes) survive termination.

15. Disclaimers

To the fullest extent allowed by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We don't promise the Service will be uninterrupted, error-free, or secure, that rankings or results are accurate, or that user content is truthful. Some places don't allow these disclaimers, so some may not apply to you.

16. Limitation of liability

To the fullest extent allowed by law:

  • We won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, or for personal injury arising from exercise or activities you choose to do, except where caused by our gross negligence or willful misconduct or where liability can't be limited by law.
  • Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim or (b) US $50 [DECISION FOR TYSON / LAWYER: confirm cap].

Nothing in these Terms limits liability that can't be limited by law (for example, for death or personal injury caused by negligence in some countries, or fraud), or your statutory consumer rights.

17. Indemnity

If you break these Terms or the law, or your content infringes someone's rights, you agree to defend and indemnify [Company legal name] and its owners, employees, and agents against related claims, losses, and costs (including reasonable legal fees), to the extent permitted by law.

18. Disputes and governing law

  • Talk to us first. Most issues can be solved quickly — email [Contact email] and give us [30] days to try to resolve it informally.
  • Governing law: These Terms are governed by the laws of [State/Country of governing law], without regard to conflict-of-laws rules.
  • Where disputes are handled: [DECISION FOR TYSON / LAWYER: courts of [County, State/Country] OR binding individual arbitration with [arbitration provider], with a class-action waiver and small-claims carve-out, and an opt-out window].
  • Consumers: If you are a consumer in the EU, UK, or another place that gives you the right to bring claims in your home courts or under your local consumer laws, nothing here takes those rights away.

19. Apple App Store and Google Play terms

If you download REP LEAGUE from the Apple App Store:

  • These Terms are between you and [Company legal name] only, not Apple. We, not Apple, are solely responsible for the app and its content.
  • Your license to use the app is limited to use on Apple-branded devices you own or control, as allowed by the Usage Rules in Apple's Media Services Terms and Conditions.
  • Apple has no obligation to provide maintenance or support for the app.
  • If the app fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the maximum extent allowed by law, Apple has no other warranty obligation with respect to the app; any other claims, losses, or costs due to a failure to meet a warranty are our responsibility, to the extent not disclaimed in these Terms.
  • We, not Apple, are responsible for addressing any claims relating to the app or your use of it, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer protection, privacy, or similar claims.
  • If a third party claims the app or your use of it infringes their intellectual property, we, not Apple, are responsible for investigating, defending, settling, and resolving the claim.
  • You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.
  • You must comply with any applicable third-party terms (such as your wireless data agreement) when using the app.
  • Questions, complaints, or claims about the app go to us at [Contact email], [Mailing address].
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, Apple may enforce these Terms against you as a third-party beneficiary.

If you download REP LEAGUE from Google Play, Google Play's Terms of Service also apply to your download and purchases, and Google is not responsible for the app. Where Apple or Google terms conflict with these Terms on a point about their store, their terms control for that point.

20. Changes to these Terms

We may update these Terms. If changes are significant, we'll notify you in the app or by email before they take effect, where reasonably possible. Continuing to use the Service after changes take effect means you accept them. If you don't agree, stop using the Service and delete your account. Changes will not reduce a founding price or Lifetime Pro you already hold, except as described in Section 10.

21. General

These Terms (with the Privacy and Refund Policies) are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in effect. If we don't enforce something right away, we haven't waived it. You can't transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition, or sale of assets. We're not liable for delays caused by events beyond our reasonable control.
